Dear Mr. Fenza:

I represent Jeff Mach and Widdershins, Inc and Widdershins, LLC in connection with the proposed sale of certain intellectual property to Silver Phoenix. This letter shall reflect that the terms proposed in the email between Mr. Mach and Ms. Shipps dated February 17, 2018 are acceptable to Mr. Mach in principle. This letter shall serve as acceptance of those terms and the basis to draft an asset sale agreement embodying same.

In the interest of keeping SPWF and the other events moving forward, Silver Phoenix is authorized to commence obtaining vendors and contracts for the events in anticipation of moving forward with the finalized contracts.
